Terms of Service

These terms govern your access to and use of the PulsePR platform. Please read them carefully before installing the GitHub App or placing an order.

Effective date: June 1, 2025  ·  Last updated: June 1, 2025

Key points: By using PulsePR you agree to these terms. Reviews are advisory — final merge decisions are always yours. We provide an SLA quality guarantee, not an unconditional warranty that reviewed code is bug-free.

1. Agreement to Terms

By installing the PulsePR GitHub App, submitting an order, or accessing the PulsePR dashboard, you ("Customer") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are agreeing on behalf of a company or organization, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not install the GitHub App or use the service.

2. The Service

PulsePR provides asynchronous code review by vetted senior engineers, delivered as GitHub PR comments ("Reviews"). The service includes:

  • Matching pull requests tagged with @pulsepr to qualified reviewers
  • Delivery of written review feedback within the applicable SLA window
  • An executive dashboard aggregating review metrics and technical debt signals
  • Optional add-ons, including Architecture Context Audits and Full Systems Audits

PulsePR is a review and advisory service. Reviews are opinions and recommendations from experienced engineers; they do not constitute professional certification, a guarantee of code correctness, or a warranty of fitness for any particular purpose. The decision to merge any pull request remains entirely with the Customer.

3. Account Registration

You must provide accurate registration information and maintain its accuracy. You are responsible for all activity under your account. You must notify us immediately at [email protected] if you suspect unauthorized access. We may suspend accounts that show signs of compromise.

One subscription covers your organization as specified at checkout. You may not share credentials or use the service on behalf of organizations outside your subscription.

4. GitHub Integration and Permissions

The PulsePR GitHub App requests read access to pull request diffs on repositories where you explicitly install it. You authorize us to receive PR diff data and metadata for tagged PRs, and to post review comments on your behalf.

You are responsible for ensuring that your organization's GitHub security policies permit installation of third-party apps. You can revoke the GitHub App installation at any time through GitHub's settings; revocation terminates our access immediately but does not entitle you to a refund for unused prepaid periods.

5. Acceptable Use

You agree not to:

  • Use the service to circumvent export control laws or submit code that contains regulated export-controlled material without proper authorization
  • Submit PRs containing unlicensed third-party code, malware, or exploits for review
  • Attempt to reverse-engineer, benchmark, or resell the service
  • Use the service in a manner that harasses or denigrates our reviewer network
  • Abuse the @pulsepr urgent flag for non-urgent reviews to circumvent standard queue ordering

Violation of acceptable use may result in immediate suspension at our discretion.

6. Billing and Payment

6.1 Pay-As-You-Go

Each review is charged at the rate in effect at the time of the review request. Priority reviews incur an additional fee as displayed at checkout. Payment is due before the review is assigned.

6.2 Team Retainer

Monthly retainer fees are billed in advance on the subscription anniversary date. Unused reviews within a billing period do not roll over. Overage reviews beyond the included amount are charged at the then-current standard rate.

6.3 Enterprise

Enterprise billing terms are specified in your Order Form. Custom SLAs, dedicated reviewer pods, and volume discounts are governed by the Order Form and any applicable Master Services Agreement.

6.4 Refunds and credits

If a review is not delivered within the applicable SLA window, you will receive a credit equal to the cost of that review. If a reviewed PR causes a production incident within 30 days and our review failed to flag the root cause, that review is refunded and we provide a written root cause analysis. We do not offer refunds for services already rendered or for unused retainer credits at subscription end.

7. Confidentiality

PulsePR treats all PR content as confidential. Each reviewer engagement is automatically covered by the bilateral NDA included with your subscription. Enterprise clients may substitute their standard vendor NDA, subject to our 48-hour legal review window.

You agree to keep confidential any non-public information about PulsePR's reviewer network, pricing, and internal tooling that you may learn in the course of using the service.

8. Intellectual Property

You retain all intellectual property rights to your source code and PR content. You grant PulsePR a limited, temporary license to access and transmit PR diff data solely to provide the review service. This license terminates when the review is complete and the diff is deleted.

PulsePR retains ownership of the platform, the review delivery infrastructure, and any aggregate, anonymized insights derived from usage patterns. Written review comments are owned by the respective reviewer; by using the service, you receive a perpetual license to use those comments within your organization.

9. Disclaimer of Warranties

The service is provided "as is" and "as available." To the maximum extent permitted by applicable law, PulsePR disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that reviews will identify all defects in reviewed code or prevent all production incidents.

10. Limitation of Liability

To the maximum extent permitted by law, PulsePR's total cumulative liability for any claims arising out of or related to these Terms shall not exceed the greater of: (a) the total fees paid by you in the three months preceding the claim, or (b) $500 USD. In no event shall PulsePR be liable for indirect, incidental, consequential, punitive, or special damages, even if advised of the possibility of such damages.

The limitations in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between the parties.

11. Termination

Either party may terminate a monthly subscription with 30 days' written notice. Annual subscriptions may be terminated at end of term. We may terminate or suspend your account immediately if you materially breach these Terms. Upon termination, your license to use the service ends and we will delete your PR diff data in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute that cannot be resolved informally shall be subject to binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in English in San Francisco, California. Class action waiver: you agree to resolve disputes only on an individual basis.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice by email. Your continued use of the service after the effective date constitutes acceptance. If you do not accept updated Terms, you must terminate your subscription before the effective date.
